- Retainership of company secretary matters of small, mid-size and listed companies;
- All matters pertaining to Board and shareholder meetings, resolutions, voting, amendment in charter documents, minority shareholder protection,
proxies, statutory registers, annual returns, event based filings, compliance with the Act, Rules and Secretarial Standards;
- Scrutiniser to all e-voting and postal ballot voting process;
- Due diligence in respect of statutory compliance with the various laws and regulations governing the entity;
- Security creation, searches, registration, modification and satisfaction of charges and all related documentation work and creation of mortgages;
- Change of name, change of objects and shifting of registered office of the company within the state and from one state to another.
- Agreement preparation, vetting and analysing for various clients;
- Consultation, legal opinion and advice on corporate matters including company law, Securities Law, Foreign Exchange law, Competition Law, SARFAESI, Sexual Harassment of Women Act, Stamp Acts etc.;
- Ensuring that companies comply with the relevant commercial statutes like company law, foreign exchange regulations, stock exchange regulations etc.
- Issue of shares and debentures, preference shares, optionally convertible debentures, listing of shares and debts; all matters pertaining to local IPOs, GDRs, ADRs etc.
- Takeover of companies in India, whether listed or unlisted and merger and amalgamation.
- Registration of trade marks in India.
- Obtaining government approval, if required, for foreign equity investment or loan funding into companies in India.
- Corporate governance in listed and unlisted companies.
- Corporate Social Responsibility compliances;
- NBFC compliances;
- Advise on stamp duty implications on property, shares, transfers etc.
- Liquidation whether voluntary, by order of Court or dissolution of company by reason of not having business.
